Internal Audio Terms of Service & Privacy Policy

IMPORTANT - PLEASE READ CAREFULLY

These Terms Of Service govern your use of the Internal Audio Development Library and audiobook rental service. By visiting the website and using the service, you accept and agree to be bound by these Terms of Use. If you do not agree to these Terms of Use, you are not authorized to use the Internal Audio Service.

Internal Audio reserves the right to update and change these Terms of Service from time to time without notice. Continued use of the service after such changes shall constitute your consent to such changes. The most current Terms of Service will always be linked at the bottom of every Internal Audio webpage.

OVERVIEW & EXPLANATION OF INTERNAL AUDIO SERVICE

The Internal Audio Service provides access to the Internal Audio library of development materials: business and self-help audiobooks which Internal Audio LLC purchases from publishers or other third parties. Users browse the library through the Internal Audio website. All Users are required to acknowledge and agree to these Terms of Service before browsing the library or checking any materials out. Users may be individual users (who purchased access to the library themselves), or be part of a corporate group. Materials selected and checked out will be delivered to Users via the U. S. Postal Service (USPS). Each item of material will be shipped with return instructions and a pre-paid, addressed return mailer to return the materials.

DESCRIPTION OF PARTIES DESCRIBED IN THESE TERMS

Internal Audio - Internal Audio LLC, the provider of the Internal Audio Service.

Users- All designated users of the Internal Audio Development Library

DETAILS & RESTRICTIONS

  1. An item of material is defined as a single audiobook that may be comprised of multiple compact disks. All audiobooks are shipped in their entirety.
  2. Unless changed by contract, each User is allowed to have one (1) title checked out at a time. There is no limit on the number of rentals (except as limited by single title provision.)
  3. Internal Audio requests that materials be returned after three (3) weeks. There are no late charges for overdue materials. Users may be notified via email regarding titles they currently have checked out of the library.
  4. Internal Audio reserves the right to refuse service to Users who fail to return or cause damage to the materials they checked out or otherwise violated these Terms.
  5. Users may only check out materials for themselves.
  6. Audiobooks are offered in CD format only.
  7. The Internal Audio Service cannot be assigned or resold.
  8. These audiobooks are rentals and may not be copied. Please see Intellectual Property & Copyright terms for more details.

PAYMENT, TERMS, REFUNDS, UPGRADES, ACCT CHANGES - APPLIES TO INDIVIDUAL USER ACCOUNTS

  1. A valid credit card is required for each Individual account.
  2. You will be billed immediately for the annual cost of the program. By clicking 'Signup Now' you expressly agree to allow Internal Audio LLC to bill you the annual cost, as well as any applicable tax.
  3. Service begins when your credit card is charged - NOT when you first log on to the system.
  4. Account management is available via the 'Manage Account' link in the title bar of the online library.

DELIVERY AND RETURN OF MATERIALS

  1. Internal Audio uses the USPS to deliver and return the materials Users have selected to check out. Actual delivery times may vary depending on (1) Internal Audio's inventory availability at the time of an order, (2) the User's delivery address, (3) the day (i.e. weekday, weekend, holiday, etc.) and time a User places an order and (4) circumstances impacting delivery by the USPS. Internal Audio will send the User an e-mail confirming their order and shipping address, and stating the anticipated date of delivery.

  3. Materials are not considered returned if any portion of the material is not returned (i.e. one CD from a 3-disc set). Internal Audio will contact the User via email regarding any missing portions of returned materials and may choose to provide materials for the return of the missing items.
  4. If the Internal Audio Service is not renewed prior to the end of the term for any reason, all checked out materials must be returned to Internal Audio within two (3) weeks of the last day of the term or the User will be charged the retail cost to replace the titles. Internal Audio LLC will provide the User with a list of materials outstanding at the end of the term.

INTELLECTUAL PROPERTY & COPYRIGHT

  1. Copyrights - All content included on Internal Audio websites, including text, graphics, logos, designs, photographs, button icons, images, audio/video clips, digital downloads, data compilations, and software, is the property of Internal Audio or its suppliers and is protected by U.S. and international copyright laws. This includes all of the content and materials delivered to Users by Internal Audio. Internal Audio certifies that it has obtained the necessary rights and permissions to provide said materials.
  2. Copyright Protection - Internal Audio requires Users accessing the service to acknowledge the copyright restrictions before checking any material out. Internal Audio will be in no way responsible for any violations of copyright laws by the Users of the Service. Users and Administrators shall indemnify and hold harmless Internal Audio for any such violations. The compilation of all Web based content, and any other Internal Audio website, is the exclusive property of Internal Audio and is protected by U.S. and international copyright laws and shall not be reproduced or used without express written permission from Internal Audio.
  3. Trademarks; Images - All trademarks not owned by Internal Audio that appear on Internal Audio websites are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Internal Audio. Any images of persons or personalities contained on the Internal Audio website shall not be an indication of endorsement of any particular product or service unless otherwise specifically indicated.

GENERAL

  1. Internal Audio shall not be liable in any way for any delay or any failure of performance of services provided hereunder or for any delay, loss or damage due to (i) any causes beyond its reasonable control including, but not limited to, fires, floods, epidemics, quarantine restrictions, unusually severe weather, supplier's delay, strikes, embargoes, explosions, power blackouts, wars, labor disputes, acts of civil disobedience, acts of civil or military authorities, acts stemming from governmental bodies, including courts and regulatory bodies, acts of nature, acts of public enemies, or acts or omissions of carriers, or (ii) any wrongful or negligent act or omission of the Administrator or Users including, but not limited to, any breach of these Terms to the extent such act or omission affects Internal Audio's performance.
  2. Each User acknowledges that he/she has not been induced to agree to these Terms by any representation or warranty not set forth in these Terms or the sign-up process entered into by the User. These Terms, together with the sign-up process, contain the entire agreement of the parties with respect to its subject matter and supersedes all existing agreements and all other oral, written, or other communications between them concerning its subject matter.
  3. Internal Audio may update the development library from time to time. While Internal Audio will attempt to honor requests for particular material or subject matters, it reserves the right to refuse to provide access to specific requested titles which were not part of the original product offering. Many development and self-help titles exist that have not been produced in audio format. This would prevent Internal Audio from distributing said material.
  4. YOUR CONDUCT AS A USER ON THIS SITE AND LIMITATIONS ON USE - By accessing the Internal Audio Service website, you agree not to upload, post, email or otherwise send or transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the Internal Audio website. You also agree not to interfere with the servers or networks connected to the Internal Audio website or to violate any of the procedures, policies or regulations of networks connected to the Internal Audio website. You also agree not to impersonate any other person while using the Internal Audio website, conduct yourself in a vulgar or offensive manner while using our service, or use the Internal Audio website for any unlawful purpose.
  5. Internal Audio is free to use any comments, information, ideas, concepts, reviews, or techniques contained in any communication the Administrator or User may send to Internal Audio without further compensation, acknowledgement or payment for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products and creating, modifying or improving the Internal Audio website(s).
  6. Use of Development Library Materials - It is the User's responsibility to evaluate the information, opinions, advice, or other content available through the Internal Audio website and service. INTERNAL AUDIO MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THE CONTENTS OF ANY DEVELOPMENT LIBRARY MATERIALS. Internal Audio and its shareholders, directors, officers and employees shall not have any responsibility to the User or any third party, and the User and Administrator shall indemnify and hold harmless Internal Audio and its shareholders, members, directors, managers, officers and employees, for any loss, damage, or economic harm caused by the User's reliance on opinions, advice or information contained in any development library materials provided by Internal Audio.
  7. Internal Audio and its shareholders, members, directors, managers, officers and employees shall not have any responsibility to the User or any third party, and the User and Administrator shall indemnify and hold harmless Internal Audio and its shareholders, members, directors, managers, officers and employees, for any loss or damage caused by the acts or omissions of the User or Administrator while using or accessing materials supplied by Internal Audio.
  8. Many of these materials may be used while commuting and driving - it is your responsibility to make sure to operate any vehicle in a safe and legal manner.
  9. Users should always consult with their doctor before implementing any exercise program or any change in their nutrition or eating habits.
  10. Internal Audio reserves the right to terminate the account of any User for any reason. Failure of Internal Audio to enforce any provision of these Terms or any right with respect thereto will not constitute a waiver of such provision or right or in any way affect the validity of these Terms.
  11. The rights and obligations of the parties and all interpretations and performance of these Terms shall be governed in all respects by the laws of the State of Vermont. All legal actions arising out of disputes under these Terms shall be brought in a court of competent jurisdiction within the State of Vermont and each party hereto consents to the jurisdiction of such courts for the purposes of such actions.
  12. The rights of the User under these Terms are solely those of the User and may not be assigned or transferred to any other person, firm, or corporation without the prior, express, and written consent of Internal Audio.
  13. Any provision of these Terms, which is invalid, illegal or unenforceable, will be ineffective to the extent of such invalidity, illegality or unenforceability, without affecting in any way the remaining provisions or rendering that or any other provisions of these Terms invalid, illegal or unenforceable.
 

Internal Audio Privacy Policy

Collection and Use of Information

When you create an account on the Internal Audio Development Library website, we ask for information necessary to serve you. We ask for your full name, your email address, your phone number, and your mailing address. This information will not be disclosed to any third parties, except in regards to providing you access to the materials in the program. For example we give your address to the US Postal Service so they can deliver our audiobooks. See Third Party Vendors below for more information.

We will use your information to contact you ONLY in regards to the Internal Audio Program. From time to time you may receive emails promoting the service. If you are accessing the program through a corporate contract, these will only be sent with the approval of and in partnership with your employer's HR department. We will abide by any corporate communication policy in place. We request that materials be returned after a designated length of time, and will contact you if we have not received the materials back by a certain date.

If you cease to be employed by the company sponsoring the site, you will no longer have access to the program. Any information we have collected in the course of your use of the site remains the property of Internal Audio LLC and may be disclosed to your former employer (Corporate customers only.)

Internal Audio LLC reserves the right to disclose information when required by law.

Account Access and Security

You may change your account information at any time by logging on through the Internal Audio website and clicking on 'Manage Account.' You are responsible for managing your password to the site, and for restricting access to the program through your computer. Your password may be reset from the login screen, and we will use your email address to communicate the changes to you.

While we make every effort to ensure that your information is secure on our system, no data transmission over the Internet can be guaranteed to be 100% secure. As a result, we cannot guarantee the security of any information you transmit to us, and you do so at your own risk.

Use of Cookies

Internal Audio LLC reserves the right to place a cookie (a small text file) on any PC that accesses your employer's custom Internal Audio service web page. This cookie, if used, would enable Internal Audio to identify the user of the PC and provide the user with direct access to their account without requiring them to retype any password or other user identification. You are responsible for maintaining the confidentiality of your account and password and for restricting access to the program through your computer. You will not be required to use cookies in order to access the program.

Third Party Vendors

Internal Audio LLC occasionally use other companies, agents or contractors to perform services necessary to our operations. For example, we may partner with other companies to personalize our Web pages, analyze customers' interaction with our site and process consumer surveys. We also provide postal addresses to the U.S. Post Office for delivery purposes. In the course of providing such services, these companies may have contact with your personally identifying information. By contractual agreement, these companies must treat your information in accordance with this Policy. We will not be liable for any damages that may result from the misuse of your personal information by these companies.
